Terms of Trade & Service Conditions

These statutory Terms of Trade govern all engineering supply, installation, IQP compliance audits, and emergency maintenance provided by DJR Refrigeration Ltd across New Zealand.

Section 01

1. Definitions & Agreement Scope

"DJR Refrigeration Ltd" (referred to as "Company", "we", "us", or "our") refers to the registered trade engineering firm supplying HVAC, heat pump, refrigeration, and ventilation services. "Customer" (referred to as "you" or "Client") refers to the individual, property owner, commercial entity, or agent engaging our services.

By accepting a quotation, issuing a Purchase Order, scheduling a site audit, or requesting 24/7 breakdown dispatch, you unconditionally agree to be bound by these Terms of Trade.

Section 02

2. Quotations, Pricing & Variations

All written quotations remain valid for 30 calendar days from the date of issue unless stated otherwise. Prices are quoted in New Zealand Dollars ($NZD) and exclude GST unless explicitly specified.

Unforeseen Site Variations:

We reserve the right to adjust quoted pricing if unforeseen site conditions arise during execution. These include, but are not limited to:

  • Switchboard upgrade requirements or insufficient mains electrical capacity.
  • Concealed structural obstacles, asbestos, or hazardous building materials.
  • Unengineered wall cavity restrictions requiring specialized line-set capping or core drilling.
Section 03

3. Payment Terms & Title (PPSA 1999)

Residential Installations: Full payment is strictly due upon practical completion on the date of service or commissioning.
Commercial Contracts: Payment terms are 20th of the month following invoice date, or as agreed in writing under the Construction Contracts Act 2002 (CCA).

Ownership & Security Interest (PPSA): Ownership of all equipment, heat pumps, compressors, and ducting remains with DJR Refrigeration Ltd until all outstanding invoices are cleared in full. Risk in equipment passes to the Client upon physical delivery to the site.
Section 04

4. Property Access, Power & Readiness

The Customer must ensure the premises are accessible, safe, and ready for work on the scheduled date. This includes providing continuous 230V electrical power and clear physical access to indoor fan coil positions, roof spaces, and outdoor plant locations.

Work delays caused by locked premises, unsafe roof access without required scaffolding, or uncleared working areas will incur a standard trade waiting rate of $110 + GST per hour per technician.

Section 05

5. Warranties & Consumer Guarantees Act

Workmanship Guarantee: DJR Refrigeration Ltd provides a 12-Month Workmanship Guarantee on all piping, flare connections, electrical interlocks, and structural mountings.

Manufacturer Warranties: Equipment warranties (e.g. Mitsubishi Electric 5-Year Warranty, Daikin 5-Year Warranty) are honored directly through respective New Zealand distributors, subject to annual trade servicing.

Consumer Guarantees Act 1993 Exclusions:

Where the Customer acquires our goods or engineering services for the purpose of a commercial business or trade operation, the provisions of the Consumer Guarantees Act 1993 (CGA) are explicitly contracted out and excluded as permitted under Section 43 of the Act.

Section 06

6. IQP Mechanical Ventilation & BWoF Form 12A

As registered Independent Qualified Persons (IQPs) with Auckland Council, we issue Form 12A compliance certificates for Specified System 9 (SS9) mechanical ventilation plant only when the equipment strictly complies with Building Code Clause G4 and AS/NZS 1668.2 standards.

Form 12A certificates will not be released until all required safety rectifications have been executed and all related inspection accounts are paid in full.

Section 07

7. 24/7 Emergency Dispatch & Cancellations

Commercial emergency requests dispatched outside standard business hours (Mon-Fri 7:30 AM - 5:00 PM) incur a mandatory After-Hours Dispatch Call-Out Fee, which includes the first hour on site.

Scheduled installation appointments cancelled less than 24 hours prior to site arrival will incur a cancellation fee equivalent to 2 hours of trade labor.

Section 08

8. Limitation of Liability & Stock Loss

To the maximum extent permitted by New Zealand law, DJR Refrigeration Ltd shall not be liable for any indirect, consequential, or economic loss—including perishable food stock spoilage, business interruption, or loss of revenue resulting from mechanical plant breakdown or power outages.

Commercial owners are required to maintain independent commercial insurance coverage for stock in trade and coldstore inventory.
